Position Overview

The Vice President, General Counsel and Secretary (the "General Counsel") will have overall responsibility for the Company's legal and corporate secretarial functions, managing the legal department and acting as the principal legal officer and adviser to the company's executive leadership team. The individual must have experience in a wide range of substantive areas of the law and be able to manage multiple complex issues at the same time. Day-to-day responsibilities will include handling business and financial transactions, labor and employment matters, complex litigation, intellectual property, corporate governance and compliance, in addition to serving as counselor to the rest of the leadership team.

This requires a business-oriented executive with a proven track record of balancing business goals with legal risk in providing nuanced advice and guidance to the executives of a highly entrepreneurial and rapidly expanding business. Superior analytical skills and judgment, and a collegial approach to problem-solving, are critical to their success.


Position Responsibilities

The incumbent is expected to perform the following functions that the company has determined are essential to this position:

  • Plans and directs all aspects of the Company's legal affairs and ensures maximum protection of its legal rights. Lead company involvement in legislative issues affecting company and industry.
  • Leads the preventative legal activities and the defense of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others. Manages all litigation.
  • Advises senior executive staff on important legal matters, risk assessments across a wide range of business and ensures compliancy to protect company against legal liability.
  • Demonstrates advanced expertise in a variety of the field's concepts, practices, and procedures. Relies on extensive experience and judgment to plan and accomplish goals.
  • Assumes a leading role in establishing and maintaining all aspects of corporate governance, compliance programs and the company's intellectual property portfolio.
  • Manage legal department budget to ensure cost effective services from outside counsel.
  • Mastery of a variety of the field's concepts, practices, and procedures. Relies on experience and judgment to plan and accomplish goals. Manages, directs and evaluates the work of other experienced legal professionals, including attorneys.
  • Directs, oversees the revision of policies and procedures as they relate to the Company's Compliance and Confidentiality Programs and its related activities to prevent illegal, unethical, or improper conduct.
  • Provides reports on a regular basis and, as directed or requested, keeps executive staff progress of efforts.

Required Skills and Abilities

  • Broad-based corporate and transactional generalist with 15+ years' experience gained through a variety of roles of increasing visibility and responsibility, including having served most recently in a general counsel or deputy general counsel role.
  • Experience presenting to the executive leadership and/or the Board of Directors of previous employers.
  • Familiarity with Compliance, Confidentiality, Risk and HR related standards, procedures & regulations.
  • Demonstrated organization, facilitation, negotiation and communication and presentation skills.
  • Administrative and managerial skills (i.e. successful management, direction and leadership of others).
  • Outstanding project management skills and ability to perform effectively under strict time constraints.
  • Strong analytical skills, attention to detail and demonstration of high degree of sophisticated judgment.
  • Strong business instincts and acumen, as well as interpersonal, organizational, written and oral communications skills.

Education/Training/Certifications

  • Excellent academic credentials, including a JD from a respected law school and be admitted into the state bar in good standing.

Work Environment Requirements

  • Must be able to operate a personal computer, telephone and other office equipment.
  • Must perform job duties onsite, except those duties that are customarily or by their nature performed offsite (for example, offsite customer visits).
  • Must be able to work effectively in a fast-paced environment where constructive criticism is encouraged.
  • Must be able to work on multiple assignments at once, and complete assignments within deadline and budget (if applicable) with satisfactory quality.
  • Must be able to operate as an effective team member.
  • Must be committed to a high standard of safety and be willing and able to comply with all safety laws and all company safety policies.

Attendance/Work Hour Requirements

  • Must maintain an acceptable attendance record.
  • Must be willing and available to work such weekends and holidays as necessary and desirable to meet business needs.

Travel Requirements

  • Approximately 20-30 %
  • Must be willing and available to travel to such locations and with such frequency as is necessary and desirable to meet business needs.
