Corporate Counsel - Compliance

Position Responsibilities

The Corporate Counsel - Compliance is expected to perform the following functions that the company has determined are essential to this position:

  • Compliance
    • Oversee and manage company's compliance program which is administered to over 30 subsidiaries and affiliates in Canada, USA and Mexico
      • Note program and all materials are implemented in Spanish, English and Japanese
    • Oversight and management of Company Code or Conduct, including annual training and onboarding of new hires and revisions as needed
    • Draft policies and procedures as needed and promote them through organization
      • Proposal and approval by Senior Management
      • Promotion throughout complex network of subsidiaries and affiliates
      • Coordination and provision of training to office and manufacturing staff
    • Provide annual training on compliance related topics, policies and procedures throughout the organization
      • Code of conduct
      • Antitrust
      • Anticorruption
      • Compliance office and Manage training
    • Provide reporting on compliance-related metrics to General Counsel, Senior Management and Japan headquarters management
    • Provide support to over 30 subsidiaries and affiliates including advice and counsel onboarding and other support as needed
    • Collaborate with compliance officers and managers at each subsidiary and affiliate on compliance related topics
    • Management of compliance hotline reports in collaboration with company's employment counsel
    • Oversee and manage investigations with company's senior employment counsel
      • Conduct internal investigations
      • Manage and oversee investigations don't by law firms and legal service providers
      • Cooperation and collaboration with company's Japan headquarters compliance team including weekly calls to discuss status of compliance activities, promotion of compliance material and other topics
      • Note some calls may be late night or early morning
      • Oversee and manage company's compliance survey
    • Management of all vendors and law firms related to the company's compliance program
    • Legal
      • Provide advice and counsel to compliance, senior management and Japan headquarters, as needed, as it relates to compliance, ethics and issues related to the compliance program overall
      • Legal assessment of hotline reports and provision of advice and counsel to their senior management
      • Legal assessment of policies and procedures
      • Management of outside counsel relating to provision of services for compliance related topics
    • Required Skills and Abilities

      Essential Skills and Experience:

    • No less than 10 years' prior experience in law firm or in-house legal department.
    • No less than 5 years of relevant experience involving work promoting, implementing and building traction for a corporate compliance program.
    • Ability to project manage large-scale compliance rollouts.
    • Proficient in PowerPoint.
    • Excellent and engaging communication skills - presentation, written and verbal.
    • Ability to work independently and take initiative.
    • Must have effective organization and time-management skills and a high attention to detail

      Beneficial Skills and Experience:

    • Skills with promoting compliance activities to workforce.
    • Prior experience in compliance investigations.
    • Public speaking.
    • Experience with training/teaching workforce about compliance issues.
    • Experience with promoting compliance materials in multiple languages.Education/Training/Certifications:
    • JD from ABA accredited law school
    • Current member in good standing of one (1) U.S. State Bar
  • Work Environment Requirements:

      • Must be able to operate a personal computer, telephone and other office equipment.
      • Must perform job duties onsite, except those duties that are customarily or by their nature performed offsite (for example, offsite customer visits).
      • Must be able to work effectively in a fast paced environment where constructive criticism is encouraged.
      • Must be able to work on multiple assignments at once, and complete assignments within deadline and budget (if applicable) with satisfactory quality.
      • Must be able to operate as an effective team member.
  • Attendance/Work Hour Requirements:

  • This is not a remote work position
  • Full-time position.
  • Must maintain an acceptable attendance record.
  • Must be willing and available to work such weekends and holidays as necessary and desirable to meet business needs.

Travel Requirements:

  • Approximately 15-25%
  • Domestic travel to Indiana, Illinois, Kentucky, Tennessee, California, Mexico and Canada.
  • Must be willing and available to travel to such locations and with such frequency as is necessary and desirable to meet business needs.
